MediaOps Terms of Service

These Terms of Service ("Terms") form a legal agreement between you ("you," "User," "Creator") and [Your Legal Business Name] ("MediaOps," "we," "us," "our") governing your access to and use of the MediaOps website, application, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

MediaOps provides tools for social media content creators to manage brand partnerships, including but not limited to: automated media kit generation, a brand-deal CRM, contract and invoice generation, e-signature facilitation (via Documenso), payment collection facilitation (via Stripe), and automated reminders.

MediaOps is a software tool, not a party to your agreements with brands. We do not review, approve, negotiate, or guarantee the terms, enforceability, or outcome of any contract, invoice, or deal you create using the Service. You are solely responsible for the content and accuracy of information you enter, and for the business relationships you form with third parties (brands, contacts, collaborators).

MediaOps offers subscription tiers (currently Starter and Pro, with additional tiers as introduced) billed monthly through Stripe. Current pricing is displayed in the Service and may change with notice as described in Section 4.4.

We may change subscription pricing with at least 30 days' notice via email or in-app notice. Continued use after the effective date constitutes acceptance of the new pricing.

Free tier features and limits may change at our discretion. We are not obligated to maintain any specific free tier indefinitely.

5. Third-Party Services

The Service integrates with and relies on third-party providers, including Supabase, Stripe, Documenso, Resend, Twilio, and social media platforms (Instagram, TikTok, YouTube). Your use of features involving these providers is also subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, security, or performance of third-party services, and any outage, data loss, or error caused by a third-party provider is outside our direct control, though we will make reasonable efforts to notify you of known material disruptions.

Connecting your social media accounts is voluntary. You are responsible for complying with each platform's own terms of service (e.g., Instagram's, TikTok's, YouTube's) when granting MediaOps access to your account data.

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, branding, and underlying technology, is owned by MediaOps and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service itself.

8.2 Your Content

You retain ownership of the data and content you input into the Service (deal information, contract text, brand contacts, etc.) ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely as necessary to provide the Service to you.

If you provide suggestions or feedback about the Service, we may use it without obligation or compensation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIAOPS AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEALS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

This limitation applies regardless of the legal theory of liability (contract, tort, negligence, or otherwise) and to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless MediaOps, its operator, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third party's rights, including brands or contacts you interact with through the Service, or (d) content or data you submit through the Service.

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time; material changes will be communicated via email or in-app notice at least 15 days before taking effect where practicable. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
